Terms of Service

1. Acceptance of Terms

By accessing or using any service offered by Iron Digital MI ("Company," "we," "our," or "us"), including our website at irondigitalmi.com, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

2. Services Provided

Iron Digital MI provides the following categories of services:

• Custom web development and design for businesses and organizations
• AI workflow automation and custom software application development
• Digital strategy, SEO consulting, and ongoing website maintenance

3. Project Agreements and Payment

All web development and custom software projects require a signed project agreement and a 50% deposit before work begins. Project scope, timelines, and deliverables are defined in the individual project agreement. Iron Digital MI reserves the right to pause or terminate work on any project where payment terms are not met. Deposits are non-refundable once work has commenced. The remaining 50% balance is due upon final delivery.

Electronic Signatures: Project agreements, proposals, and contracts signed digitally through our Client Portal comply with the United States ESIGN Act and relevant state Uniform Electronic Transactions Act (UETA) rules. By clicking "Sign" or otherwise submitting your digital signature representation on our platform, you acknowledge and agree that your electronic signature holds the same legal force, validity, and enforceability as a handwritten signature.

Subscriptions and Retainers: Ongoing services (such as website hosting, maintenance packages, SEO retainers, and business automation subscriptions) are billed on a recurring monthly basis via Stripe. Recurring fees are charged automatically to your stored payment method. Subscriptions can be cancelled at any time by providing a 30-day written cancellation notice. Non-payment or payment failures will result in immediate temporary suspension of associated automation scripts, vector databases, hostings, and API access keys until the balance is paid in full.

4. Revisions

Each project includes a set number of revision rounds as defined in the project agreement. Requests beyond the included revisions will be scoped and billed separately at our current hourly rate. Revision requests must be submitted in writing through the client portal or by email.

5. Ownership and Intellectual Property

Upon receipt of full payment, the client receives full ownership of the delivered website design and associated custom code. Iron Digital MI retains the right to display completed work in our portfolio unless otherwise agreed in writing. Any third-party assets, fonts, or libraries used in the project remain subject to their respective licenses.

6. Limitation of Liability

Iron Digital MI shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services, including loss of revenue, data, or business opportunities. Our total liability for any claim related to our services shall not exceed the total amount paid by the client in the 90 days preceding the claim.

7. Acceptable Use

You agree not to use Iron Digital MI services to:

• Violate any applicable local, state, or federal law or regulation
• Transmit spam, malware, or any malicious content
• Infringe upon the intellectual property rights of any third party
• Engage in activity that disrupts or interferes with our services or infrastructure

8. Termination

Iron Digital MI reserves the right to terminate or suspend services at our sole discretion, without notice, for conduct that we believe violates these Terms of Service or is harmful to other clients, us, third parties, or the public.

9. Governing Law

These Terms of Service are governed by the laws of the State of Michigan, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Wayne County, Michigan.
